Acquiring a mineral asset
South African process reference. Other African jurisdictions require local legal and regulatory advice.
Signed sale mandate from the right holder plus a non-disclosure agreement before the data room opens. Confirm who actually holds the right at the Mineral and Petroleum Titles Registration Office (MPTRO).
Search the right on SAMRAD and the MPTRO register: right type, area, commodities, term, renewals, encumbrances, and whether the right is in good standing on annual reporting.
A competent person's report to SAMREC (resources and reserves) and SAMVAL (valuation) standards. Buyers should never rely on in-house tonnages alone.
Environmental authorisation and EMPr under NEMA, a water use licence under the National Water Act 36 of 1998, and a funded rehabilitation and closure provision.
Review the approved social and labour plan, host-community and traditional-authority agreements, and Mining Charter III ownership and procurement compliance.
Either a cession of the right itself, or a sale of shares in the right-holding company. Share sales avoid a section 11 cession but still trigger a change-of-control consent where the Act or the right's conditions require it.
Under MPRDA section 11, a prospecting or mining right may not be ceded, transferred, let, sublet, assigned, alienated or otherwise disposed of without the Minister's written consent. Agreements are made conditional on that consent.
Large transactions need Competition Commission approval; cross-border consideration needs South African Reserve Bank exchange-control approval through an authorised dealer.
Register the cession at the MPTRO, transfer the environmental and water authorisations, novate offtake and contractor agreements, and hand over mine health and safety appointments under the Mine Health and Safety Act 29 of 1996.
